By accessing or using the neagoedragos.com website and its subdomains (together, the "Site"), and by placing an order, completing a registration or making a payment for any of our products or services, you confirm that you have read, understood and fully accept these Terms and Conditions. If you do not agree with them, in whole or in part, please do not use the Site and do not purchase our services.

Please read this document carefully before using or obtaining materials, information or services through the Site. If you are a consumer habitually resident in Romania or in the European Union, the provisions below are supplemented by: Law no. 365/2002 on electronic commerce, Government Emergency Ordinance no. 34/2014 on consumer rights in contracts concluded with traders, Law no. 193/2000 on unfair terms, Law no. 506/2004 on the processing of personal data in the electronic communications sector, and Regulation (EU) 2016/679 (GDPR).

Any natural or legal person (the "Client") may use the Site to order or register for events, courses, coaching sessions, individual sessions or meditations (together, the "Services"), provided they comply with these Terms.

For an order or registration to be processed, the Client must complete all required fields with real, complete and correct information.

The Company may amend these Terms and Conditions at any time by publishing the new version on the Website. If a material change affects a product already purchased (course, program, retreat), we will notify you directly where reasonably possible. Changes do not apply to orders already completed. If you use the Site after a new version is published, you are deemed to accept it.

We cannot guarantee the continuous and uninterrupted operation of the Website. Technical faults may occur, and we will try to fix them as quickly as possible. You may not interfere with the operation of the Website or do anything that could affect our IT systems, for any reason.

This document is drafted in Romanian to properly inform Clients in Romania, in line with the legal obligations to inform consumers. Where a version of the Terms and Conditions exists in another language and the two versions differ, the Romanian version prevails in relation to consumer Clients in Romania, regardless of the language in which the document was originally drafted. This English version is provided for convenience.

1. General provisions

1.1. By using the Website and its content, the Client is responsible for the consequences of their own use and is liable for any material, intellectual, electronic or other damage caused to the Website or the Company.

1.2. The Website is intended for natural persons aged 18 or over and for legal persons. Services involving emotional release sessions or specific event activities are not available to minors, regardless of any parental consent.

1.3. The Company reserves the right to restrict or terminate any person's access to the Website without prior notice if these Terms and Conditions are breached, without such restriction affecting rights the Client has already acquired under previously completed orders.

2. Nature of the Services

2.1. The Company provides personal development coaching, emotional release sessions, courses and events, solely for the purpose of personal development and self-improvement.

2.2. The Company, its founders, coaches and facilitators are not licensed psychologists, psychiatrists or physicians, unless expressly stated otherwise in writing for a particular practitioner. The Services do not constitute psychotherapy, psychological counselling, mental health treatment or diagnosis of any kind, and do not replace professional medical or psychological care.

2.3. By purchasing or taking part in any Service, the Client represents and warrants that, where applicable, they have consulted a licensed physician or mental health professional if they have a condition (for example: epilepsy, psychosis or a history of psychotic episodes, severe dissociative disorders, bipolar disorder, active suicidal ideation, heart conditions, pregnancy-related complications, current psychiatric medication) that could make emotional release sessions or event activities contraindicated, and that they will inform the Company of any relevant condition before a session begins.

2.4. The Services are not suitable for medical or psychiatric emergencies. In a crisis, if suicidal thoughts arise or in a medical emergency, the Client must immediately contact local emergency services or a licensed specialist.

2.5. Coaching results vary from person to person. The Company gives no guarantee of specific results, transformation or healing.

3. Website content and intellectual property rights

3.1. All Website content (texts, images, video materials, audio recordings, logos, graphic elements, methodologies and course materials) is the exclusive property of the Company and/or its licensors, with all rights reserved, and is protected by Romanian, European Union and international copyright and intellectual property law. Any attempt to copy it by any means is unlawful and may result in legal action.

3.2. Upon purchase, the Company grants the Client a limited, non-exclusive, non-transferable, revocable licence to access and use the purchased content solely for personal, non-commercial use.

3.3. Without the Company's prior written consent, the Client may not: copy, distribute, republish, screen-record or transmit the content (including audio) to third parties; resell, sublicense or use the Company's content or methodologies to create a competing product or service; remove copyright notices; record or rebroadcast live sessions, coaching calls or event content.

3.4. Photo and video recordings may be made during events. By attending, the Client agrees that the resulting materials may be used by the Company for promotional and marketing purposes, unless the Client notifies the Company in writing in advance that they do not wish this.

3.5. If the Client submits testimonials, reviews or other content to the Company, they grant the Company a non-exclusive, worldwide licence to use it for marketing purposes, unless otherwise agreed in writing.

3.6. Unauthorised use of the Company's content constitutes a material breach of these Terms and may lead to immediate termination of access without refund, without prejudice to the Company's right to seek interim measures before the competent court to protect its intellectual property rights.

3.7. Third-party methodologies and trademarks. To the extent that the Company mentions, uses or facilitates access to methodologies, techniques, certifications or trademarks owned or licensed by third parties (for example, an externally certified emotional release or meditation technique), these remain the exclusive property of their legal owners and are used by the Company either under a valid licence or by way of fair reference, without being claimed as the Company's own intellectual property.

3.8. Notice of third-party copyright infringement. If a third party believes that content published on the Website infringes their copyright or other intellectual property rights, they may notify the Company at contact@neagoedragos.com, stating: (a) a description of the allegedly infringing material; (b) proof of ownership of the right claimed; (c) the exact location of the material on the Website; and (d) the contact details of the person making the notice. The Company will review any such notice in good faith and decide, on an informed basis, whether the material should be removed or access to it restricted.

4. Registration for events, courses and sessions

4.1. Online registration is made by completing the registration form and paying by one of the methods listed in Section 5. A registration not followed by completed payment does not reserve a place.

4.2. By submitting the form, the person registering confirms that all information provided is correct, complete and true.

4.3. The Company may cancel a registration, without any liability for damages, in the following situations: the transaction is declined by the issuing bank or payment processor; the Client has provided incomplete or incorrect information; the maximum number of participants for the event has been reached; the registered person's previous conduct has caused, or risks causing, harm to the Company, its staff or other clients.

4.4. Each ticket/place is personal, non-transferable and linked to a unique order identifier. Only the named registered person may attend, unless the Company agrees otherwise in writing.

4.5. The Client may cancel their attendance at an event or course by written notice sent to contact@neagoedragos.com. The amount paid is strictly non-refundable, whatever the reason, situation or justification given. The reserved ticket/place is also personal and may not be transferred or assigned to another person. The Client is asked to pay only once they are sure they want to and can attend.

5. Payment methods

The payment methods available for the Services offered by the Company are:

  • online card payment through a payment processor (Stripe, PayPal);
  • bank transfer, based on a pro forma invoice issued and sent automatically.

All prices are stated in EUR and/or RON and/or USD. The Client is responsible for any currency conversion or bank fees charged by their own financial institution.

5.1. Payment data security. Payments are processed exclusively through authorised third-party processors certified under the PCI-DSS standard. The Company does not collect, store or have access to the Client's full bank card details; these are handled entirely by the payment processor.

6. Rules for sessions, programs and events

Confidentiality

Information shared in group sessions, individual sessions or events is strictly confidential, except where the law requires otherwise.

Event-specific risks

For in-person events, the Client will be asked to sign a separate assumption-of-risk declaration and a health questionnaire, which supplement these Terms.

The Client is responsible for their own travel arrangements, travel insurance, visas and compliance with local laws at the destination.

Participation fee

Participation fees are paid in advance. The Company reserves the right to suspend access to the Services if the fee has not been paid in full.

The refund policy is the one stated on the page of each event/program. Unless the registration page states otherwise, amounts paid are non-refundable in case of non-attendance, subject to the right of withdrawal set out in Section 9 of this document, where applicable.

Rescheduling policy

Group sessions cannot be rescheduled. Individual sessions may be rescheduled with at least 24 hours' notice; with less notice, the session is considered used and the fee paid is not refunded. A session is considered rescheduled only after explicit confirmation from the service provider. If the provider cannot attend a scheduled session, it will be rescheduled by mutual agreement with the Client at no extra cost.

Provider's obligations

  • To keep confidential any information learned in the course of providing the Services.
  • To treat the Client with respect.
  • To give at least 24 hours' notice if unable to attend a scheduled session.
  • Not to undertake any activity against the Client's interests.

Client's obligations

  • To pay in full for the Services they have registered for.
  • To take responsibility for applying the methods identified during the program.
  • To arrive on time for scheduled sessions.
  • To give at least 24 hours' notice if unable to attend.
  • To respect the Provider's copyright in the materials used.

7. Invoicing

7.1. The participation fee includes access to all sessions included in the purchased package.

7.2. After the registration form is received, a pro forma invoice will be issued and sent electronically (for bank transfer payments) or, for online card payments, the final tax invoice will be issued and sent automatically by email immediately after the payment is successfully processed, in compliance with applicable tax requirements.

7.3. Tax documents (invoices, receipts) are kept by the Company for 10 years, in accordance with applicable accounting and tax law, independently of the retention period for other categories of personal data set out in Section 10.

8. Force majeure

8.1. The Company shall not be liable for failure or delay in performing any obligation where this results from causes beyond its reasonable control, including but not limited to: natural disasters, pandemics or other public health crises, government action, travel restrictions, strikes, outages of the internet or third-party technical platforms, or unavailability of an event venue.

8.2. In such situations, the Company will notify the Client as soon as reasonably possible and will offer, as appropriate, rescheduling of the event/service or an equivalent credit for a future service, without being obliged to make a cash refund.

9. Consumer right of withdrawal, applicable to Clients in Romania/the EU

9.1. In accordance with Government Emergency Ordinance no. 34/2014, if you are a consumer (a natural person acting for purposes outside their trade or business) habitually resident in Romania or in the European Union, you have the right to withdraw from a distance contract without penalty and without giving any reason within 14 calendar days of the date the contract was concluded (for services) or of the date access to digital content was provided.

9.2. To exercise the right of withdrawal, you must inform the Company by an unequivocal statement sent to contact@neagoedragos.com before the 14-day period expires.

9.3. Under Article 16 of Government Emergency Ordinance 34/2014, the right of withdrawal does not apply to:

  • leisure services that provide for a specific date or period of performance (for example, an event on a fixed date);
  • digital content not supplied on a tangible medium (for example, an audio recording or a digital course), where access or delivery is provided instantly. By giving this consent, the Client acknowledges and confirms that they automatically lose the right to withdraw from the contract once access to the digital content has been provided;
  • services that have been fully performed.

10. Personal data protection (GDPR)

10.1. To the extent that the Company provides Services to persons in the European Union/European Economic Area, Regulation (EU) 2016/679 (GDPR) applies to the processing of those persons' personal data, regardless of the Company's location or the law governing the contract under Section 12.

10.2. The Company acts as data controller for data collected through the Website (name, email, billing details, health information disclosed under Section 2.3, session recordings where applicable).

10.3. The legal bases for processing are: performance of the contract, explicit consent (including for health data, as a special category under Article 9 GDPR), the Company's legitimate interest, and legal obligations.

10.4. International data transfers. Where personal data collected from persons in the EU/EEA is transferred to the Company in the United States or to other sub-processors outside the EEA, such transfers rely on an appropriate legal mechanism, such as the Standard Contractual Clauses (SCCs) adopted by the European Commission or an applicable adequacy decision, to ensure a level of protection equivalent to that guaranteed by the GDPR.

10.5. Separate consent for marketing communications. Consent to receive marketing communications (newsletters, offers, promotional communications) is always separate from accepting these Terms and from completing an order. The Client is not automatically added to marketing lists by purchasing a Service, but only through a separate and explicit tick box or action. Consent may be withdrawn at any time, free of charge, via the unsubscribe link in each communication or by written request.

10.6. You have the right to: access your data; request its rectification or erasure; restrict or object to processing; data portability; withdraw consent at any time; and lodge a complaint with the Romanian National Supervisory Authority for Personal Data Processing (ANSPDCP), www.dataprotection.ro.

10.7. Health data, when disclosed voluntarily in order to assess whether it is safe to take part in emotional release sessions or event activities, is collected only with your explicit and separate consent, used solely for that purpose and kept only as long as necessary, but no longer than 6 years from the last interaction, except where legal archiving obligations apply. This period is separate from the one applicable to tax documents set out in Section 7.3.

10.8. Sub-processors. The Company uses third-party providers for Website hosting, payment processing and, where applicable, email communication. A list of the main categories of sub-processors is available in the Privacy Policy and may be requested at any time from the data protection contact address.

10.9. Full details on data processing, cookies and third-party processors are available in the Website's Privacy Policy and Cookie Policy, both of which form an integral part of this document by reference.

10.10. Data protection requests may be sent to: contact@neagoedragos.com

11. Fraud and account security

11.1. The Company will never ask the Client, by email, phone, SMS or any other means, for confidential data, bank accounts/cards or personal passwords.

11.2. The Client is responsible for protecting their own login details and for verifying the authenticity of any communication claiming to come from the Company before acting on it.

11.3. The Company is not liable for losses resulting from phishing or identity theft by third parties posing as Company representatives. The Client will inform the Company of any such attempt.

11.4. The Company does not engage in spam. Any Client may request in writing that their email address be removed from communication databases.

12. Governing law and dispute resolution

12.1. This contract is governed by the law of the State of Wyoming, United States of America, to the extent permitted by law.

12.2. Protection of consumers in Romania/the EU. If you are a consumer habitually resident in Romania, in the European Union or in another state with mandatory consumer protection laws, the choice of law in clause 12.1 does not deprive you of the protection afforded by the mandatory provisions of your country of residence, which cannot be excluded by agreement (Article 6 of Regulation (EC) no. 593/2008 – Rome I). Accordingly, for any matter mandatorily governed by Romanian or EU law (including the right of withdrawal, protection against unfair terms and access to national courts), those provisions apply, regardless of clause 12.1.

12.3. Internal complaints procedure. Before any external action, the Client is encouraged to send a written complaint to the Company at contact@neagoedragos.com. The Company will acknowledge receipt and provide a reasoned response within 30 calendar days of its registration.

12.4. Amicable settlement. If the internal complaint does not lead to a solution, any dispute will be subject to a further attempt at amicable settlement, through written notice and direct negotiation, for a period of at least 30 days.

12.5. If you are a consumer habitually resident in Romania or the EU, you have the right to bring any action relating to this contract before the competent courts of your country of residence, in accordance with applicable law (Regulation (EU) no. 1215/2012). This clause does not oblige you to arbitrate and does not limit this right.

12.6. The SAL platform. For a dispute you cannot resolve directly with the Company, you may use the ANPC Alternative Dispute Resolution (SAL) platform: https://reclamatiisal.anpc.ro.

12.7. For consumers in Romania / the European Union: This contract and the relationship between the parties are governed by the law of the consumer's state of residence. These provisions do not deprive EU consumers of the rights and protection granted by the mandatory provisions of the law applicable in their country of residence (including Romanian consumer protection rights). Disputes will be resolved by the competent courts of the consumer's country of residence or through alternative dispute resolution mechanisms (SAL/ANPC).

12.8. For legal persons (B2B) and clients outside the European Union: This contract, and any dispute or claim arising out of or in connection with it, are governed, construed and enforced exclusively in accordance with the laws of the State of Wyoming, USA. Any dispute will be finally resolved by arbitration administered by the American Arbitration Association (AAA), conducted exclusively remotely, online (via Zoom or a similar platform).

12.9. The invalidity of any clause in this section does not affect the validity of the other provisions of the contract.

13. Limitation of liability

13.1. To the maximum extent permitted by law and subject to Section 12.2, the Company's total liability to the Client shall not exceed the amount actually paid by the Client to the Company in the 12 months preceding the claim.

13.2. The Company shall not be liable for indirect, incidental or consequential damages, except in cases of gross negligence, wilful misconduct or liability that cannot be limited by law.

14. Indemnification

The Client agrees to indemnify and hold harmless the Company, its employees and collaborators from any claims, damages or expenses arising from the Client's breach of these Terms, misuse of the Services or infringement of a third party's rights, except where caused by the Company's gross negligence or wilful misconduct.

15. Assignment

15.1. The Client may not assign or transfer the rights or obligations arising from this contract to a third party without the Company's prior written consent.

15.2. The Company may assign this contract, in whole or in part, to an affiliated entity or a successor, including in the event of a merger, acquisition or sale of the business, provided that the new entity assumes all obligations towards the Client set out in this document, and the Client will be notified of any such assignment.

16. Final provisions

16.1. The Company reserves the right to amend these Terms and the structure of the Website, subject to the provisions on communicating material changes set out in the preamble to this document.

16.2. If any clause of this document is held to be void or unenforceable, this shall not affect the validity of the remaining clauses, which shall continue in full force and effect.

16.3. This document, together with the Privacy Policy, the Cookie Policy and any retreat-specific waiver, constitutes the entire agreement between the Client and the Company regarding the Services.
